1. Acceptance of Terms
Welcome to Tuse Tech LLP (Company No. OC459107). By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Tuse Tech LLP ("we," "us," or "our"), a limited liability partnership registered in England and Wales.
2. Services Description
Tuse Tech LLP provides the following software development services:
- Mobile Application Development: Native iOS and Android apps, cross-platform solutions using React Native, Flutter, or similar technologies.
- Game Development: 2D and 3D game prototyping and production for mobile, web, and desktop platforms.
- SaaS Platform Development: Subscription-based software solutions, including architecture, development, and deployment.
- Web Services & APIs: Backend development, RESTful APIs, cloud infrastructure setup, and integration services.
All services are provided on a project basis with clearly defined scope, deliverables, and timelines agreed upon in a separate Statement of Work (SOW) or project contract.
3. Payment Terms & Milestones
Payment terms are established in the project-specific SOW. Typical payment structures include:
- Deposit: 30-50% upfront payment required before project commencement.
- Milestone Payments: Payments tied to specific project milestones (e.g., design approval, development phases, testing, deployment).
- Final Payment: Remaining balance due upon project completion and client acceptance.
All payments are due within 14 days of invoice date unless otherwise specified. Late payments may incur a 5% monthly interest charge. Prices are quoted in USD or GBP and exclude applicable taxes.
4. Intellectual Property Rights
Client-Owned IP: Upon full payment, you will own all intellectual property rights to the final deliverables specifically created for your project, including source code, designs, and documentation.
Pre-existing & Third-party Components: We retain ownership of any pre-existing code, libraries, frameworks, or tools used in the project. Third-party components (e.g., open-source libraries) remain subject to their respective licenses.
Portfolio Rights: We reserve the right to showcase completed projects in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.
5. Warranties & Limitations
We warrant that services will be performed with reasonable skill and care, consistent with industry standards. However:
- We do not guarantee that software will be error-free or uninterrupted.
- We are not responsible for issues arising from third-party services, APIs, or platforms beyond our control.
- All software is provided "as is" after the warranty period (typically 30-90 days post-launch).
Limitation of Liability: Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific project. We are not liable for indirect, incidental, or consequential damages.
6. Refund Policy
Refund eligibility and procedures are detailed in our Refund & Return Policy. In summary:
- Deposits are non-refundable once work has commenced.
- Refunds for incomplete projects are calculated based on work completed and milestones delivered.
- Refund requests must be submitted in writing to refunds@tuse.app.
7. Project Termination
Either party may terminate a project with 14 days' written notice. Upon termination:
- Client is responsible for payment of all work completed up to the termination date.
- We will deliver all work-in-progress materials in their current state.
- IP rights transfer only for work that has been fully paid.
We reserve the right to immediately terminate services if payment is overdue by more than 30 days or if Client breaches these Terms.
8. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the project. This obligation survives termination of the agreement. Confidential information does not include information that is publicly available or independently developed.
9. Governing Law & Dispute Resolution
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We encourage resolving disputes through good-faith negotiation. If negotiation fails, either party may pursue mediation before initiating legal proceedings.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
